Common use of Conditions Precedent to all Drawdowns Clause in Contracts

Conditions Precedent to all Drawdowns. The Lenders’ obligations to make available any Drawdown pursuant to Section 3.3 are subject to and conditional upon the satisfaction of each of the following terms and conditions: (a) as of each Drawdown Date, those representations and warranties contained in Section 2.1 (other than Section 2.1(l) which is intended to apply only as of the Amendment Effective Date) are true and correct in all material respects with the same effect as if made as of that Drawdown Date; (b) as of each Drawdown Date, no Default or Event of Default has occurred and is continuing or would occur with the making of the requested Borrowing; and (c) on or before the applicable number of days prior to each Drawdown Date, in accordance with Section 3.3, the Agent has received a duly executed Notice of Drawdown (in the form of Schedule “A” or “B” as applicable).
