Conditions Precedent to Buzzard’s Obligation to Close. The obligations of Buzzard to consummate the transactions contemplated by this Agreement shall be subject to the satisfaction, on or before the Closing Date, of each and every one of the following conditions, all or any of which may be waived, in whole or in part by Buzzard, subject to compliance with the Transaction Documents but without prejudice to any other right or remedy which Buzzard may have hereunder as a result of any misrepresentation by, or breach of any covenant or warranty of Scrubgrass contained in this Agreement, or any certificate, agreement or instrument furnished by it hereunder:
