Conditions Precedent to Closing for the Benefit of the Agency. For the benefit of the Agency, Closing and disbursement of any portion of the Agency Loan, are conditioned upon the Owner satisfying the condition precedent to the Closing set forth in Section 207 of the OPA, submitting all documents required by Section 111 of the OPA, taking possession of the Leasehold and the occurrence of the following on or prior to the scheduled Closing Date as set forth in the Schedule of Performance (Attachment No. 5):
