Conditions Precedent to Closing Relating to Warranties and Representations by Buyer. The obligations of Seller to perform this Agreement is subject to each and all of the following conditions, any one or more of which may, however, be waived in whole or in part by Seller by written notice to that effect given to Buyer, provided that any such waiver shall not be construed as a waiver by Seller of any action they may have by law as a result of any breach by Buyer of any of the representations and warranties set forth in Article III hereof.
