Conditions Precedent to Credit Extensions on the Amendment and Restatement Effective Date. The Administrative Agent, the Issuing Banks and the Lenders shall not be required to fund any Term Loans or Revolving Loans, or arrange for the issuance of any Letters of Credit on the Amendment and Restatement Effective Date, until the following conditions are satisfied or waived:
