Conditions Precedent to Drawing. 4.1 The Bank may not release the Facility or any part of it unless the Bank is satisfied that the following have been fulfilled: (a) the conditions set out in the Letter of Offer and/or this Agreement, (b) [the additional conditions precedent set out in the Letter of Offer and/or the Second Schedule of this Agreement]; and (c) no Event of Default has occurred.
