Conditions Precedent to Effectiveness of Agreement; Bid Protection. (a) Promptly after all bidding at the Auction has concluded, the Debtors shall file the Notice and Report as contemplated by the Bid Procedures Order and submit this Agreement (and the transactions contemplated by this Agreement) at the Approval Hearing (as that term is defined in the Bid Procedures Order) for formal approval by the Bankruptcy Court in an Order (the "APPROVAL ORDER"). This Agreement shall not be enforceable against the Company until such time as the Bankruptcy Court shall have entered the Approval Order.
