Conditions Precedent to Initial Borrowing. The agreement of each Lender to make the initial extension of credit requested to be made by it hereunder is subject to the satisfaction or waiver, prior to or concurrently with the making of such extension of credit on the Closing Date, of the following conditions precedent (the making of the initial extensions of credit shall be deemed to be the satisfaction or waiver of all of the conditions precedent in this Section 7.1):
