Conditions Precedent to Issuance of Notes. On the date hereof, Notes may be executed by the Issuer and authenticated and delivered by the Trustee to the specified parties upon the Issuer Request (directing the Trustee to authenticate the Notes and designating to whom the Trustee shall deliver the authenticated Notes) only if the Issuer shall have delivered the following to the Trustee (as evidenced by the Officer's Certificate referred to in (d) below and provided that the Trustee shall have no obligation to review the following and shall make no representation as to their sufficiency or effectiveness):
