CONDITIONS PRECEDENT TO NMTC ALLOCATION. The obligation of the CDFI Fund to provide a NMTC Allocation to the Allocatee is subject to the fulfillment, as determined by the CDFI Fund, in its sole discretion, of the following conditions precedent, each of which shall be fulfilled prior to or as of the Allocation Date.
