Conditions Precedent to Obligation of Each Party to Close the Advance and the Exchange. The Parties shall, subject to satisfaction or waiver of their respective conditions to each Closing set forth in Articles 15.1 and 15.2, and subject to the terms and conditions in the Debenture with respect to the Exchange Closing, proceed with the consummation of the transactions contemplated to occur on the applicable Closing Date, provided the following conditions precedent have been satisfied or such conditions have been waived in writing by both Parties:
