Conditions Precedent to Obligation of Hersha Owner. The obligation of Hersha Owner to consummate the transactions contemplated herein shall be subject to the fulfillment on or before the Closing Date of all of the following conditions, except to the extent that Hersha Owner, in its sole discretion, expressly waives in writing any or all of such conditions::
