Conditions Precedent to Obligation of Owner JV. The obligation of Owner JV to consummate the transactions contemplated herein shall be subject to the fulfillment on or before the Closing Date, as applicable, of all of the following conditions, except to the extent that Owner JV, in its sole discretion, expressly waives in writing any or all of such conditions:
