CONDITIONS PRECEDENT TO OBLIGATIONS OF OSI AND OUTBACK. Except as may be waived by OSI and Outback, the obligations of OSI and Outback to consummate the transactions contemplated by this Agreement shall be subject to the satisfaction, on or before the Closing Date, of each of the following conditions:
