Common use of Conditions Precedent to Obligations of the Parties Clause in Contracts

Conditions Precedent to Obligations of the Parties. The obligations of each Party to effect the Closing and to consummate the transactions contemplated by this Agreement are subject to the satisfaction or waiver by such Party on or prior to the Closing Date of the following conditions: (a) no Law shall be in effect or have been enacted or adopted, that enjoins or otherwise prohibits the consummation of the transactions contemplated by the Transaction Documents; and (b) any Required Approvals shall have been obtained (other than those Required Approvals not required or requested to be obtained on or prior to the Closing Date).

Conditions Precedent to Obligations of the Parties. The obligations of each Party to effect the Closing and to consummate the transactions contemplated by this Agreement are subject to the satisfaction or waiver by such Party (subject to Section 10.1) on or prior to the Closing Date of the following conditions: (a) condition: no Order shall be in effect, and no Law shall be in effect or have been enacted or adopted, that enjoins or otherwise prohibits the consummation of the transactions contemplated by this Agreement or the other Transaction Documents; and (b) any Required Approvals shall have been obtained (other than those Required Approvals not required or requested to be obtained on or prior to the Closing Date).
