Conditions Precedent to Obligations of the Subscriber. The obligations of the Subscriber are subject to the fulfillment prior to or on the Closing Date of the following conditions any of which may be waived by the Subscriber in writing:
(a) all representations and warranties of the Company contained in this Agreement shall be true and correct in all respects as of the Closing Date with the same effect as though such representations and warranties had been made on or as of such date;
(b) all obligations, agreements and covenants of the Company to be performed or complied with on or prior to the Closing Date shall have, in all respects been so performed or complied with; and
(c) the Company shall have received subscriptions for the Minimum Amount
Conditions Precedent to Obligations of the Subscriber. The obligations of the Subscriber hereunder are, at the option of the Subscriber, subject to the satisfaction on or prior to the Transaction Date of each of the following conditions unless waived in writing by the Subscriber:
