Conditions Precedent to the Effectiveness of this Agreement and the Making of Loans on the Closing Date. The effectiveness of the obligation of the UK Lenders to make and to continue to permit to remain outstanding Revolving Loans on the Closing Date and the obligation of the UK Agent to cause the Letter of Credit Issuer to issue or continue any Letter of Credit on the Closing Date are subject to the following conditions precedent having been satisfied or waived in a manner satisfactory to each UK Agent and each UK Lender:
