Conditions Precedent to the Initial Funding. The obligation of each Lender to make any Loan requested to be made by it on the Initial Funding Date (individually, an "Initial Loan" and collectively, the "Initial Loans") and of the Issuing Bank to issue any Letter of Credit pursuant hereto on the Initial Funding Date, and the effectiveness of this Agreement on the Initial Funding Date, shall be subject to satisfaction of all of the following conditions precedent (unless waived by all the Lenders):
