Conditions Precedent to the Obligations of ATA and ATA Holdings. The obligations of ATA and ATA Holdings to consummate the transactions contemplated hereby at the Closing shall be subject to the satisfaction or waiver (where permissible), at or prior to the Closing, of the following additional conditions:
