CONDITIONS PRECEDENT TO THE OBLIGATIONS OF SELLER, KILAT AND THE SHAREHOLDERS. The obligations of Seller, Kilat and the Shareholders to consummate the transactions contemplated by the Transaction Agreements at the Closing are subject to the fulfillment of the following conditions, any one or more of which may be waived in whole or in part by Seller, Kilat or the Shareholders in the manner provided for herein.
