Conditions Precedent to the Other Debt Refinancing Closing Date. In addition to the conditions precedent set forth in Section 5.2, the release from escrow of the proceeds of the 2014-1 Additional Term Loans on the Other Debt Refinancing Closing Date (in addition to any other conditions set forth in the Eleventh Amendment Escrow Agreement) shall be subject to the fulfillment at or prior to the time of such release from escrow of each of the following conditions:
