Conditions Precedent to the Sale of the Certificates. The obligation of the Transferor to sell the Certificates to the Administrative Agent on the Closing Date for the benefit of the Purchaser and the subsequent Owners from time to time is subject to the satisfaction at the time of the Closing of the following conditions: (a) Performance by the Purchaser and the Administrative Agent. All the terms, covenants, agreements and conditions of this Agreement to be complied with and performed by the Purchaser or the Administrative Agent, as the case may be, by the Closing shall have been complied with and performed in all material respects.
