Common use of Conditions Prior to Installation of the System; Change Orders Clause in Contracts

Conditions Prior to Installation of the System; Change Orders. [Provider’s] obligation to sell you the power the System produces is conditioned on the following items having been completed to its reasonable satisfaction by the Installer or other service providers chosen by [Provider]: completion of (A) the engineering site audit (a thorough physical inspection of the Property, including, if applicable, geotechnical work), (B) the final System design, and (C) real estate due diligence to confirm the suitability of the Property for the construction, installation and operation of the System; [[approval of this Power Purchase Agreement by [Provider’s] financing parties]]; your meeting the applicable credit criteria; confirmation of rebate, tax credit and renewable energy credit payment availability in the amount used to calculate the Monthly Payments set forth in this Power Purchase Agreement; confirmation that [Provider] will obtain all applicable benefits referred to in Section 9; [[receipt of all necessary zoning, land use and building permits; and ]] completion of any renovations, improvements or changes [[reasonably required]] at your Home or on the Property [[which have been agreed upon in writing]] (e.g., removal of a tree or necessary roof repairs to enable the Installer to safely install the System). [Provider] may terminate this Power Purchase Agreement without liability if, in its reasonable judgment, any of the above listed conditions (i) through (vii) will not be satisfied for reasons beyond its reasonable control. Once the Installer starts installation, however, [Provider] may not terminate this Power Purchase Agreement for your failure to satisfy conditions (i) through (vii) above.

[Provider’s] (a) SFE’s obligation to install the System and sell you You the power the System it produces is conditioned on conditional upon the following items having been completed to its reasonable satisfaction by the Installer or other service providers chosen by [Provider]satisfaction: (i) completion of (A) the engineering site audit (a thorough through physical inspection of the Property, including, if applicable, geotechnical work), (B) the final System design, and (C) real estate due diligence to confirm the suitability of the Property for the construction, installation and operation of the System; [[(ii) approval of this Power Purchase Agreement PPA by [Provider’s] one of SFE’s financing parties]]parties (if required); your (iii) Your meeting the applicable credit criteriascore; (iv) confirmation of rebate, tax credit and renewable energy credit payment availability in the amount used to calculate the Monthly Payments set forth in this Power Purchase AgreementPPA; (v) confirmation that [Provider] SFE will obtain all applicable benefits referred to in Section 911; [[(vi) receipt of all necessary zoning, land use and building permits; and ]] (vii) completion of any renovations, improvements or changes [[reasonably required]] required at your Your Home or on the Property [[which have been agreed upon in writing]] (e.g., removal of a tree or necessary roof repairs to enable the Installer SFE to safely install the System); (viii) if Your Home is governed by a homeowner’s association or similar community organization, Your receipt of all approvals and authorizations for the System required by that organization and advising SFE of any requirements of that organization that will otherwise impact the System, its installation or operation. [Provider] SFE may terminate this Power Purchase Agreement PPA without liability if, in its reasonable judgment, any of the above listed conditions (i) through (viiviii) will not be satisfied for reasons beyond its reasonable control. Once the Installer SFE starts installation, however, [Provider] it may not terminate this Power Purchase Agreement PPA for your Your failure to satisfy conditions (i) through (viiviii) above.. (b)
