Conditions to a Sublease or Assignment by Tenant. After receipt of Landlord’s written consent, a duly executed copy of the sublease shall be delivered to Landlord for Landlord’s review and approval, which shall be given within ten (10) business days of such delivery to Landlord. All subleases shall provide that the subtenant must comply with all applicable terms and conditions of this Lease. All assignments shall contain an assumption by the assignee of all the terms and obligations of this Lease. Should Landlord consent to the proposed assignment or subletting, Tenant shall pay to Landlord one-half (1/2) of any net amount of Rent or other sums directly or indirectly received by Tenant from any subtenant or assignee including any rent or other sums which may exceed the Basic Rent and Additional Rent due hereunder after the provision of reasonable reserves for refurbishment of the space and other costs and expenses in connection with the sublet. Tenant agrees that, notwithstanding any assignment or sublease, and notwithstanding the acceptance of rent by the Landlord from an assignee, sublessee, or any other party, the Tenant shall remain fully liable for the payment of rent due and to become due under this Lease and for the performance of all the covenants, agreements, terms, provisions, and conditions of this Lease on the part of Tenant to be performed or observed.

Notwithstanding anything in this Article XVIII to the contrary, Tenant shall have the right to sublease all or any portion of the total rentable area of the Premises at any time during the Lease Term with Landlord's prior, written consent only as to the appropriateness of the subtenant(s) and/or assignee, which shall not be unreasonably withheld, conditioned or delayed. Tenant shall have the right, at any time, to assign or sublease to an affiliate, parent or subsidiary without requiring the consent or approval of Landlord. The term "Affiliate" shall mean another legal entity with essentially the same ownership or conducting similar or contributing business services or any entity resulting from the merger or acquisition of the Tenant.
