Conditions to Closing and Closing Deliveries. 5.1 Conditions to the Obligations of the Purchasers at the Closing. The obligation of each of the Purchasers to purchase the Series J Stock at the Initial Closing and each Additional Closing (each Initial Closing and each Additional Closing a "Closing") is subject to the fulfillment, or the waiver by such Purchaser, of each of the following conditions on or before the date of such Closing:
