CONDITIONS TO CLOSING BY THE CHARTERER. The obligation of the Charterer pursuant to Section 2 to charter the Vessel Interest from the Owner Trust and take the other actions contemplated by Section 2 to be taken by it on the Closing Date are subject only to the fulfillment on the Closing Date to the satisfaction of or waiver by the Charterer of each of the following conditions precedent:
