Conditions to Closing for Purchaser. Purchaser’s obligation to consummate the transactions contemplated under this Agreement and under the GPS Stock Purchase Agreement (notwithstanding anything to the contrary contained therein) shall be subject to fulfillment of all of the following conditions on or prior to the Closing, any of which may be waived in writing by Purchaser:
