CONDITIONS TO CLOSING OF HEALTHEON/WEBMD. The obligation of Healtheon/WebMD to consummate the transactions contemplated by the Transaction Documents at the Closing is subject to the fulfillment on or prior to the Closing Date of the conditions specified below, unless waived by the Healtheon/WebMD pursuant to Section 11.4 of this Agreement.
