Conditions to Closing of the Seller. The obligation of the Seller to deliver the Shares is subject to the following conditions: (a) The representations and warranties of the Purchaser contained herein shall be true and correct when made and as of the Closing Date. (b) The Purchaser shall have performed and complied with all agreements on its part to be performed or complied with prior to or on the Closing Date pursuant hereto.
