This Amendment shall become effective upon receipt by the BorrowersLender of (i) a Secretary’s Certificate, in a form reasonably acceptable to Lender, duly executed and delivered by the Administrative Agentsignatories thereto, the Lenders and the Guarantors of (ii) a counterpart signature of the others to this Amendment duly executed and delivered by each of the Borrowers, the Lenders, the Administrative Agent and the GuarantorsBorrower.

This Amendment shall become effective upon receipt by by: (a) the Borrowers, the Administrative Agent, the Lenders and the Guarantors Lender of a counterpart signature of the others to this Amendment duly executed and delivered by the Borrower and each of the Borrowers, other Credit Obligors, (b) the Lenders, Credit Obligors of a counterpart signature to this Amendment duly executed and delivered by the Administrative Agent Lender, (c) the Borrower of $5,000,000 gross proceeds from convertible notes issued by Holdings and the Guarantors.Borrower to Amgen Inc.
