Common use of Conditions to Issuance Clause in Contracts

Conditions to Issuance. No LC Issuing Bank shall issue any Letter of Credit unless: (i) such Letter of Credit shall be satisfactory in form and substance to such LC Issuing Bank, (ii) the Borrower shall have executed and delivered such other instruments and agreements relating to such Letter of Credit as such LC Issuing Bank shall have reasonably requested, (iii) such LC Issuing Bank shall have confirmed with the Administrative Agent on the date of such issuance that the limitation specified in subsection (b)(ii) of this Section will not be exceeded immediately after such Letter of Credit is issued and (iv) such LC Issuing Bank shall not have been notified in writing by the Borrower, the Administrative Agent or the Required Lenders that any condition specified in clause (c), (d) or (e) of Section 3.03 is not satisfied at the time such Letter of Credit is to be issued.

No LC Issuing Bank shall issue any Letter of Credit unless: (i) such Letter of Credit shall be satisfactory in form and substance to such LC Issuing Bank,Bank in its sole discretion; (ii) the Borrower Borrowers shall have executed and delivered such other instruments and agreements relating to such Letter of Credit as such LC Issuing Bank shall have reasonably requested,; (iii) such LC Issuing Bank shall have confirmed with the Administrative Agent on the date of such issuance that the limitation limitations specified in clauses (i) and (ii) of subsection (b)(iia) of this Section 2.05 will not be exceeded immediately after such Letter of Credit is issued issued; and (iv) such LC Issuing Bank shall not have been notified in writing by the Borrowerany Vencor Company, the Administrative any Agent or the Required Lenders expressly to the effect that any condition specified in clause (c), (d) or (e) of Section 3.03 3.02 is not satisfied at the time such Letter of Credit is to be issued.

No LC Issuing Bank shall issue any Letter of Credit unless: (i) such Letter of Credit shall be satisfactory in form and substance to such LC Issuing Bank,Bank in its sole discretion; (ii) the Borrower Borrowers shall have executed and delivered such other instruments and agreements relating to such Letter of Credit as such LC Issuing Bank shall have reasonably requested,; (iii) such LC Issuing Bank shall have confirmed with the Administrative Agent Agents on the date of such issuance that the limitation limitations specified in clauses (i) and (ii) of subsection (b)(iia) of this Section 2.05 will not be exceeded immediately after such Letter of Credit is issued issued; and (iv) such LC Issuing Bank shall not have been notified in writing by the Borrowerany MHG Company, the Administrative any Agent or the Required Lenders expressly to the effect that any condition specified in clause (c), (d) or (e) of Section 3.03 3.02 is not satisfied at the time such Letter of Credit is to be issued.

No The LC Issuing Bank shall not issue any Letter of Credit unless: (i) such Letter of Credit shall be satisfactory in form and substance to such the LC Issuing Bank, (ii) the relevant Borrower shall have executed and delivered such other instruments and agreements relating to such Letter of Credit as such the LC Issuing Bank shall have reasonably requested, (iii) such the LC Issuing Bank shall have confirmed with the Administrative Agent on the date of such issuance that the limitation limitations specified in subsection (b)(iiSection 2.14(b) of this Section will not be exceeded immediately after such Letter of Credit is issued issued, and (iv) such the LC Issuing Bank shall not have been notified in writing by the Borrower, Company or the relevant Borrower (if other than the Company) or the Administrative Agent or expressly to the Required Lenders effect that any condition specified in clause (c), (dSection 3.03(c) or (e3.03(d) of Section 3.03 is not satisfied at the time such Letter of Credit is to be issued.
