Common use of CONDITIONS TO LICENSE OF MARKS Clause in Contracts

CONDITIONS TO LICENSE OF MARKS. The FRANCHISEE agrees that its nonexclusive personal right to use the name Cost Cutters Family Hair Care(R) as the name of the FRANCHISEE'S Business, and its right to use the Marks and the Business System, apply only to the Cost Cutters Business operated at the Franchised Location and only so long as the FRANCHISEE will fully perform and comply with all of the conditions, terms and covenants of this Agreement. The FRANCHISEE will not have or acquire any rights in any of the Marks or the Business System other than the right of use as provided herein. The FRANCHISEE will have the right to use the Marks and the Business System only in the manner prescribed, directed and approved by COST CUTTERS in writing and will not have the right to use the Marks in connection with the sale of any products or services other than those prescribed or approved by COST CUTTERS. If, in the judgment of COST CUTTERS, the acts of the FRANCHISEE infringe upon or demean the goodwill, standards of uniformity or quality, or business image associated with the Marks or the Business System, then the FRANCHISEE will, upon written notice from COST CUTTERS, immediately modify its use of the Marks and the Business System in the manner prescribed by COST CUTTERS in writing. Any and all goodwill associated with the Marks and the Business System will inure exclusively to COST CUTTERS' benefit and, upon the expiration or termination of this Agreement, no monetary amount will be assigned as attributable to any goodwill associated with the FRANCHISEE'S use of the Marks or the Business System. The FRANCHISEE will at no time take any action whatsoever to contest the validity or ownership of the Marks and the goodwill associated therewith and will not allege any ownership in the Marks.

The FRANCHISEE will not have or acquire any rights in any of the Marks or the Business System other than the right of use as provided herein. The FRANCHISEE will have the right to use the Marks and the Business System only in the manner prescribed, directed and approved by COST CUTTERS CITY LOOKS in writing and will not have the right to use the Marks marks in connection with the sale of any products or services other than those prescribed or approved by COST CUTTERSCITY LOOKS. The FRANCHISEE will not have or acquire any rights in any of the Marks or the Business System other than the right of use as provided herein. The FRANCHISEE will have the right to use the Marks and the Business System only in the manner prescribed, directed and approved by COST CUTTERS WCH in writing and will not have the right to use the Marks in connection with the sale of any products or services other than those prescribed or approved by COST CUTTERSWCH. If, in the judgment of COST CUTTERSWCH, the acts of the FRANCHISEE infringe upon or demean the goodwill, standards of uniformity or quality, or business image associated with the Marks or the Business System, then the FRANCHISEE will, upon written notice from COST CUTTERSWCH, immediately modify its use of the Marks and the Business System in the manner prescribed by COST CUTTERS WCH in writing.
