Common use of Conditions to Obligation of Each Party to Effect the Closing Clause in Contracts

Conditions to Obligation of Each Party to Effect the Closing. The respective obligations of each party to effect the Closing shall be subject to the fulfillment at or prior to the Closing Date of each of the following conditions: (a) The Approval Order has been entered. (b) No restraining order, preliminary or permanent injunction, or other order issued by any court of competent jurisdiction prohibiting the consummation of the transactions contemplated hereby shall be in effect.

Conditions to Obligation of Each Party to Effect the Closing. The respective obligations of each party Party to effect consummate the Closing transactions contemplated hereby shall be subject to the fulfillment satisfaction at or prior to the Closing Date of each of the following conditions, any of which may be waived in writing by the Party entitled to the benefit thereof, in whole or in part, to the extent permitted by the applicable law: (a) The Approval Order has been entered. (b) No restraining order, preliminary or permanent injunction, or other order issued by any court of competent jurisdiction prohibiting the consummation of the transactions contemplated hereby shall be in effect.

The respective obligations of each party to effect the Closing shall be subject to the fulfillment at or prior to the Closing Date of each of the following conditionscondition: (a) The Approval Order has been entered. (b) No Injunction. No temporary restraining order, preliminary or permanent injunction, injunction or other order issued by any court of competent jurisdiction prohibiting the consummation of the transactions contemplated hereby shall be in effect; provided, however, that prior to invoking this condition, each party shall use all reasonable efforts to have any such decree, ruling, injunction or order vacated, except as otherwise contemplated by this Agreement.
