Conditions to Obligation of SKYLYNX and SAC. The obligation of SKYLYNX and SAC to complete the Merger on the Closing date on the terms set forth in this Agreement is, at the option of SKYLYNX and SAC, subject to the satisfaction or waiver by SKYLYNX and SAC of each of the following conditions:
