Common use of Conditions to Obligation of the Seller Clause in Contracts

Conditions to Obligation of the Seller. The obligation of the Seller to sell the 2012-A Exchange Note to the Purchaser as set forth in Section 2.01 is subject to each representation and warranty of the Purchaser as set forth in Section 3.01 and the other 2012-A Basic Documents being true and correct on the 2012-A Closing Date, and each obligation to be performed by the Purchaser under this Agreement on or prior to the 2012-A Closing Date having been performed on or prior to the 2012-A Closing Date.

Conditions to Obligation of the Seller. The obligation of the Seller to sell the 20122011-A Exchange Note to the Purchaser Depositor as set forth in Section 2.01 2.1 is subject to each representation and warranty of the Purchaser Depositor as set forth in Section 3.01 and the other 2012-A Basic Documents 3.1 being true and correct on the 20122011-A Closing Date, and each obligation to be performed by the Purchaser Depositor under this Agreement on or prior to the 20122011-A Closing Date having been performed on or prior to the 20122011-A Closing Date.

The obligation of the Seller to sell the 20122013-A B Exchange Note to the Purchaser as set forth in Section 2.01 is subject to each representation and warranty of the Purchaser as set forth in Section 3.01 and the other 2012-A Basic Documents being true and correct on the 20122013-A B Closing Date, and each obligation to be performed by the Purchaser under this Agreement on or prior to the 20122013-A B Closing Date having been performed on or prior to the 20122013-A B Closing Date.

The obligation of the Seller to sell the 20122015-A Exchange Note to the Purchaser as set forth in Section 2.01 is subject to each representation and warranty of the Purchaser as set forth in Section 3.01 and the other 20122015-A Basic Documents being true and correct on the 20122015-A Closing Date, and each obligation to be performed by the Purchaser under this Agreement on or prior to the 20122015-A Closing Date having been performed on or prior to the 20122015-A Closing Date.

The obligation of the Seller to sell the 20122013-A Exchange Note to the Purchaser as set forth in Section 2.01 is subject to each representation and warranty of the Purchaser as set forth in Section 3.01 and the other 20122013-A Basic Documents being true and correct on the 20122013-A Closing Date, and each obligation to be performed by the Purchaser under this Agreement on or prior to the 20122013-A Closing Date having been performed on or prior to the 20122013-A Closing Date.

The obligation of the Seller to sell the 20122013-A B Exchange Note to the Purchaser as set forth in Section 2.01 is subject to each representation and warranty of the Purchaser as set forth in Section 3.01 and the other 20122013-A B Basic Documents being true and correct on the 20122013-A B Closing Date, and each obligation to be performed by the Purchaser under this Agreement on or prior to the 20122013-A B Closing Date having been performed on or prior to the 20122013-A B Closing Date.

The obligation of the Seller to sell the 20122014-A Exchange Note to the Purchaser as set forth in Section 2.01 is subject to each representation and warranty of the Purchaser as set forth in Section 3.01 and the other 20122014-A Basic Documents being true and correct on the 20122014-A Closing Date, and each obligation to be performed by the Purchaser under this Agreement on or prior to the 20122014-A Closing Date having been performed on or prior to the 20122014-A Closing Date. Section 4.03.

The obligation of the Seller to sell the 20122015-A B Exchange Note to the Purchaser as set forth in Section 2.01 is subject to each representation and warranty of the Purchaser as set forth in Section 3.01 and the other 2012-A Basic Documents being true and correct on the 20122015-A B Closing Date, and each obligation to be performed by the Purchaser under this Agreement on or prior to the 20122015-A B Closing Date having been performed on or prior to the 20122015-A B Closing Date.
