Conditions to Obligations of Bank. The obligations of Bank to make the deliveries under this Article IV and to close this transaction are subject to the fulfillment prior to or at the Closing Date of each of the following conditions, any one or more of which (except the condition set forth in Section 4.04 (d)) may be waived by the Bank:
