Conditions to Obligations of SCNV to Purchase the Solmecs Stock. The obligations of SCNV to purchase the Solmecs Stock shall be subject to the fulfillment at or prior to the Closing Date of the following conditions: 31 38 (a) Accuracy of Representations and Warranties. The representations and warranties of each of Solmecs and the Solmecs Shareholder contained in any Solmecs Document delivered by either or both of them shall have been true when made, and, in addition, shall be true in all material respects on and as of the Closing Date with the same force and effect as though made on and as of the Closing Date.
