Common use of Conditions to Obligations of Shareholders Clause in Contracts

Conditions to Obligations of Shareholders. The obligations of Shareholders shall be subject to fulfillment prior to or at the Closing, of each of the following conditions: (a) The Company shall have received all of the regulatory, shareholder and other third party consents, permits, approvals and authorizations necessary to consummate the transactions contemplated by this Agreement; and (b) The Company shall have complied with Rule 14(f)(1) of the Exchange Act, if required.

Conditions to Obligations of Shareholders. The obligations of Shareholders each Shareholder to consummate the transactions contemplated by this Agreement shall be subject to fulfillment the fulfillment, at or prior to or at the Closing, of each of the following further conditions, unless Shareholders, in their sole discretion, shall waive such fulfillment: (a) The Company shall have received all of the regulatory, shareholder and other third party consents, permits, approvals and authorizations necessary to consummate the transactions contemplated by this Agreement; and (b) The Company shall have complied with Rule 14(f)(1) of the Exchange Act, if required.

Conditions to Obligations of Shareholders. The obligations of ----------------------------------------- each of the Shareholders hereunder shall be subject subject, in each instance, to fulfillment prior to the fulfillment, or at the Closingwritten waiver by them (which waiver may be granted or withheld in their sole and absolute discretion), of each of the following conditionsconditions at or prior to the Closing: (a) The Company shall have received all of the regulatory, shareholder and other third party consents, permits, approvals and authorizations necessary to consummate the transactions contemplated by this Agreement; and (b) The Company shall have complied with Rule 14(f)(1) of the Exchange Act, if required.
