Common use of CONDITIONS TO OBLIGATIONS OF SKY CHEFS Clause in Contracts

CONDITIONS TO OBLIGATIONS OF SKY CHEFS. Sky Chefs' obligations to consummate the transactions contemplated hereby are subject to the satisfaction on or prior to the Closing Date of the following conditions (unless expressly waived by Sky Chefs on the Closing Date): (a) Each of the representations and warranties of CII in this Agreement shall be true and correct in all material respects as of the date hereof and as of the Closing with the same effect as though such representations and warranties had been made at and as of such time, other than representations and warranties that speak as of a specific date or time (which need only be true and correct in all material respects as of such date or time). (b) CII shall have performed in all material respects all obligations required to be performed or complied with by CII under this Agreement at or prior to Closing. (c) there shall be no material adverse change in the business, operations, prospects and operations of any of the Kitchens or CII (including, without limitation, any material change in the terms and conditions of employees at any of the Kitchens).
