Conditions to Obligations of the CCBCC Parties. The obligations of the CCBCC Parties to consummate the transactions contemplated by this Agreement to occur at the Closing shall be subject to the fulfillment by the CCR Parties or written waiver by the CCBCC Parties, at or prior to the Closing, of each of the following conditions:
