Conditions to Obligations of the Company and the Selling Shareholders. Each and every obligation of the Company and the Selling Shareholders to be performed on the Closing Date shall be subject to the satisfaction as of or before the Closing Date of the following conditions (unless waived in writing by the Selling Shareholders or the Company), and the Purchaser shall exercise all reasonable efforts in good faith to satisfy such conditions:
