Common use of Conditions to Obligations of the Purchaser and the Company Clause in Contracts

Conditions to Obligations of the Purchaser and the Company. The obligations of the Purchaser to purchase and pay for the Purchased Securities and of the Company to sell the Purchased Securities are subject to the satisfaction at or prior to the Closing of the following conditions precedent: the representations and warranties of the Purchaser contained in Section 4 hereof and of the Company contained in Section 6 hereof shall be true and correct as of the Closing in all respects with the same effect as though such representations and warranties had been made as of the Closing.

The obligations of the Purchaser Company to purchase and pay for deliver the Purchased Securities Notes and of the Company Purchaser to sell deliver the Purchased Securities Purchase Price are subject to the satisfaction at or prior to the Closing of the following conditions precedent: the representations and warranties of the Purchaser Company contained in Section 4 5 hereof and of the Company Purchaser contained in Section 6 hereof shall be true and correct as of the Closing in all respects with the same effect as though such representations and warranties had been made as of the Closing.
