Conditions to Obligations of VCG. The obligations of VCG hereunder are, at the option of VCG, subject to compliance with and/or fulfillment of each of the following conditions prior to the Closing Date. The conditions contained in this Section are included in this Agreement for the benefit of VCG and, without constituting a waiver of any of VCG’s rights under this Agreement, may be waived, in whole or in part, by VCG.
