Conditions to Purchase of International Option Securities. In the event that the International Managers exercise their option provided in Section 2(b) hereof to purchase all or any portion of the International Option Securities, the representations and warranties of the Company and the Selling Stockholders contained in Section 1 hereof and the statements in any certificate of any officer of the Company or any subsidiary of the Company or on behalf of any Selling Stockholder delivered pursuant to the provisions hereof shall be true and correct as of each Date of Delivery and, at the relevant Date of Delivery, the Lead Managers shall have received: (i) Officers' Certificate. A certificate, dated such Date of Delivery, of the President, the Vice Chairman of the Board or the Chief Executive Officer of the Company, and the Chief Financial Officer of the Company confirming that the certificate delivered at the Closing Time pursuant to Section 5(h) hereof remains true and correct as of such Date of Delivery.

A certificate, dated such Date of Delivery, of the President, the Vice Chairman a Co-CEO of the Board or the Chief Executive Officer Company and of the Company, and the Chief Financial Officer chief financial or chief accounting officer of the Company confirming that the certificate delivered at the Closing Time pursuant to Section 5(h5(e) hereof remains true and correct as of such Date of Delivery.

A certificate, dated such Date of Delivery, of the President, the Vice Chairman of the Board chief executive officer or the Chief Executive Officer of the Company, and the Chief Financial Officer chief financial or accounting officer of the Company confirming that the certificate delivered at the Closing Time pursuant to Section 5(h6(h) hereof remains true and correct as of such Date of Delivery.

A certificate, dated such Date of Delivery, of the PresidentChief Executive Officer, the President or a Vice Chairman President of the Board or the Chief Executive Officer Company and of the Company, and the Chief Financial Officer chief financial or chief accounting officer of the Company confirming that the certificate delivered at the Closing Time pursuant to Section 5(h5(e) hereof remains true and correct as of such Date of Delivery.
