Common use of Conditions to Purchase of Option Shares Clause in Contracts

Conditions to Purchase of Option Shares. In the event that the Underwriters exercise the option granted in Section 3 hereof to purchase all or any part of the Option Shares and the Date of Delivery determined by you pursuant to Section 3 hereof is later than the Closing Time, the obligations of the several Underwriters to purchase and pay for the Option Shares that they shall have severally agreed to purchase pursuant to this Agreement are subject to the accuracy, in all material respects, of the representations and warranties of the Company and Selling Stockholder herein contained, to the performance by the Company and the Selling Stockholder of their obligations hereunder and to the following further conditions:
