CONDITIONS TO SELLER'S AND SHAREHOLDER'S OBLIGATION. TO CONSUMMATE THE TRANSACTION ----------------------------- Each and every obligation of United and Shareholder to be performed at or before the Closing hereunder is subject, at such party's election, to the satisfaction on or prior to the Closing Date of the conditions set forth below. Notwithstanding the failure of any one or more of such conditions, United and Shareholder may nevertheless waive compliance with such condition and proceed with Closing without satisfaction, in whole or in part, of any one or more of such conditions, in which event Buyer shall not have any obligation or liability to United with respect to such waived condition(s). This section is not intended to limit United's or Shareholder's right to indemnification from Buyer under Section 12 hereof.
