Conditions to Seller’s Obligation to Consummate the Transaction. The obligations of Seller to consummate the Transaction are subject to the satisfaction or waiver of each of the following conditions:

Conditions to Seller’s Obligation to Consummate the Transaction. Each and every obligation of Seller to be performed at or before the Closing hereunder is subject to the satisfaction on or prior to the Closing Date of the conditions set forth below, any one or more of which may be waived by Seller:
