The obligation of each Investor hereunder to purchase the Securities Shares for which it is subscribing from the Company hereunder at the Closing is subject to the satisfaction, on or before as of the Closing Date, of each of the followingfollowing conditions, provided that these conditions are for each Investor's individual and sole benefit and may be waived by the Investors as to the Investors at any time in the Investors' sole discretion:
