Conditions to the Obligations of Purchaser at Closing. Purchaser’s obligation to complete the acquisition of the Purchased Membership Interests at the Closing is subject to the fulfillment on or prior to the Closing Date of the following conditions, which conditions may be waived, in whole or in part, at the option of Purchaser to the extent permitted by law:
Conditions to the Obligations of Purchaser at Closing. The obligation of each Purchaser to purchase and pay for the Note and the Warrant at Closing is subject to the satisfaction on or prior to the Closing Date of the following conditions, each of which may be waived by a Purchaser:
3.1 Opinion of Counsel to the Company. Each Purchaser will have received from G▇▇▇▇▇▇ & B▇▇▇, P.C., securities counsel for the Company, its opinion dated the Closing Date in the form of Exhibit A.
