Conditions to the Obligations of Purchasers at the Closing. The obligation of each Purchaser to purchase and pay for the Units to be purchased by it at a Closing is subject to the satisfaction on or prior to the Closing Date of the following conditions, which may only be waived by written consent of Purchasers:
